Theme ownership/Hosting change

Hi I currently host my customers site and purchased the premium template from Catch Themes — Yeah! My customer want to move everything to their own hosting platform, in this exchange, do they then legally need to purchase the custom theme for their site or can I download and send her the theme I originally purchased? Thank you!
